By using our website or entering into an engagement with chadavorner, you agree to be bound by this Agreement. If you are accepting on behalf of an organization, you confirm that you have authority to do so. Our services are available only to individuals and organizations aged 18 or over with the legal capacity to enter into a contract.

3. Service Description

chadavorner provides business advisory services including Strategic Alignment Advisory, Organizational Growth Mapping, and the Executive Decision Framework. Details of each service, including scope, duration, and deliverables, are described on our website and in engagement-specific proposals. The specific scope of any engagement is agreed between the parties in writing before work commences.

Our services are delivered in Bangkok, Thailand, with the capacity to support engagements elsewhere in Thailand and the broader ASEAN region by arrangement.

4. User Responsibilities

You agree to provide accurate and complete information during any engagement and to cooperate reasonably with our advisory team. You agree not to use our website or services for unlawful purposes, to transmit harmful content, or to interfere with the operation of our systems. You are responsible for maintaining the confidentiality of any materials we share with you under a confidentiality agreement.

5. Intellectual Property

All content on our website — including text, design, and materials — is owned by or licensed to chadavorner. You may access our website for personal and business reference purposes only. You may not reproduce, distribute, or exploit any content without our written consent.

Engagement deliverables (roadmaps, playbooks, models) are produced for your organization's internal use. We grant you a non-exclusive license to use and adapt these deliverables within your organization. We retain the underlying methodologies and frameworks used in their creation.

6. Payment Terms

Engagement fees are denominated in Thai Baht (฿) and are specified in the engagement proposal. Payment terms are outlined per engagement and typically structured in installments aligned with engagement milestones. Invoices are payable within 14 days of issue unless otherwise agreed. Overdue amounts may attract a late payment fee as specified in the engagement letter.

All fees are exclusive of VAT where applicable. We do not offer refunds for work completed under a signed engagement letter, except where we have failed to deliver agreed deliverables within the agreed scope and timeline.

7. Disclaimers

Our advisory services represent professional judgment based on information available at the time of engagement. We make no representation that following our recommendations will achieve specific business outcomes. Business decisions and their results remain the responsibility of the client's leadership team.

Our website is provided "as is." We do not warrant that the website will be uninterrupted, error-free, or that it is free from viruses or other harmful components.

8. Limitation of Liability

To the fullest extent permitted by Thai law, chadavorner's total liability to you for any claim arising out of or in connection with our services shall not exceed the total fees paid by you in the three months preceding the relevant claim.

We are not liable for indirect, incidental, consequential, or speculative losses, including loss of profit, loss of business, or reputational damage, except where such loss arises from our fraud or willful misconduct.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in the course of an engagement. This obligation survives termination of the engagement for a period of three years. Confidentiality obligations do not apply to information that is publicly available, was independently developed, or is required to be disclosed by law.

10. Termination

Either party may terminate an engagement by giving 14 days written notice. In the event of termination, you will be invoiced for work completed up to the termination date on a pro-rata basis. chadavorner reserves the right to terminate an engagement immediately where a client acts in breach of these terms or in a manner inconsistent with ethical advisory practice.

11. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Thailand. Any dispute arising out of or in connection with this Agreement shall first be referred to informal resolution. If unresolved within 30 days, the dispute shall be submitted to the jurisdiction of the Thai courts in Bangkok.

12. General Provisions

If any provision of this Agreement is found to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not constitute a waiver of that right. You may not assign your rights under an engagement letter without our written consent.

13. Changes to These Terms

We may update these terms from time to time. The effective date on this page reflects the most recent revision. Continued use of our website or services following an update to these terms constitutes acceptance of the revised version. We will notify active clients of material changes by email where we hold contact details.
